Constitutional Framework

Fingal Beach SLSC operates under our Constitution, aligned with Surf Life Saving NSW and SLSA governance requirements.

  • 8 elected Director positions (Constitution 18.2)

Election Process

Directors are elected by members at the AGM (Constitution 19):

  • Nominations open 42 days before AGM
  • Must be members in good standing
  • Staggered elections for continuity
  • Maximum 3 consecutive terms (18.6(b))
  • Must be 18+, Australian residents

President

Constitutional Role

Presides over General Meetings and Board meetings (15.4). Represents club at SLSNSW State Council (6.3(g)).

Director of Lifesaving

Constitutional Role

Ensures minimum 20 Patrol Members (8.1). Leads all lifesaving operations and safety standards.

Director of Junior Activities

Governance Operations

Board Meetings

Frequency: As needed for club business (21.1)

Quorum: 5 Directors required (21.3)

Notice: 7 days minimum (21.1(b))

Chair: President or appointed Director (21.4(a))

Voting: Majority decides, chair has casting vote (21.4(c))

Director Duties

All Directors must (18.1(c)):

  • Exercise care and diligence
  • Act in good faith in club's best interests
  • Not misuse position or information
  • Disclose material conflicts (21.6)
  • Ensure responsible financial management
  • Prevent insolvent trading

Vacation of Office

Director position becomes vacant if (20.1):

  • Ceases to be a member
  • Absent from 3 consecutive meetings
  • Has conflict of interest violation
  • Acts prejudicial to club interests
  • Brings club into disrepute
  • Removed by Special Resolution (20.2)
